This Doctor Agreement ("Agreement") is a binding contract between you ("Doctor") and Nexaphysicians Health Connect ("Nexaphysicians", "we", "us") governing your participation as a verified physician on the Nexaphysicians platform. By submitting your application and consulting with patients through Nexaphysicians, you agree to these terms in addition to our Terms of Service and Privacy Policy.
1. Eligibility & verification
You must be a fully licensed medical doctor registered with the Medical and Dental Council of Nigeria (MDCN) and in good standing with no active suspensions, criminal convictions, or unresolved malpractice judgments. You will provide accurate documents (MDCN licence, government ID, qualifications) for verification. We may suspend your account pending re-verification at any time.
2. Independent practice
You operate as an independent licensed practitioner. Nexaphysicians is a technology platform that connects you with patients; we do not practise medicine, supervise care, or interfere with your clinical judgment. You alone are responsible for the diagnoses, consultation summaries, medication recommendations and treatment plans you provide. Nexaphysicians does not issue formal prescriptions — medication recommendations are provided to the patient for review by their GP or healthcare provider.
2a. Patient confidentiality
Consultation summaries, diagnoses, clinical notes and medication recommendations are strictly confidential between you and your patient. Nexaphysicians administrators do not have routine access to this content and can only access it where a formal dispute, a safeguarding concern, or a binding legal request requires it. Each such access is logged with a written reason.
3. Standards of care
- Provide care consistent with MDCN guidelines and accepted Nigerian medical standards.
- Maintain your own professional indemnity insurance.
- Keep accurate consultation notes within the platform.
- Refer patients to in-person care when telehealth is not appropriate.
- Never provide care for emergencies — direct patients to 112/199 (Nigeria), 999 (UK), or 911 (US).
4. Payments & 80/20 split
Nexaphysicians collects payments from patients and remits 80% of the consultation fee to you. Nexaphysicians retains a 20% platform fee covering payment processing, hosting, verification, marketing and support. Payouts are made on the schedule shown in your Earnings dashboard, subject to identity verification and minimum payout thresholds.
5. Anti-poaching & exclusivity of platform
You agree that all communication and payments with Nexaphysicians patients must flow through the Nexaphysicians platform. You must not solicit, accept, or arrange any payment, consultation or contact with a Nexaphysicians patient outside the platform. Sharing personal phone numbers, bank details, alternative payment links, or off-platform meeting links to Nexaphysicians patients is strictly prohibited. Violations may result in immediate suspension, termination, and forfeiture of pending payouts, plus liquidated damages equal to twelve (12) months of average platform revenue from that patient.
6. Availability & no-shows
You are expected to attend confirmed consultations on time. If you cannot attend, cancel as far in advance as possible — patient refunds for doctor-side cancellations are at 100% and may be deducted from your future earnings. Repeated no-shows may result in suspension.
7. Patient data & confidentiality
You will treat all patient information as confidential and use it solely to provide care through Nexaphysicians. You will comply with the Nigeria Data Protection Act and applicable medical confidentiality obligations. You may not export, copy, or share patient records outside the platform except as required by law.
8. Reviews, ratings & reporting
Patients may rate and review consultations. You agree that reasonable, good-faith reviews may be displayed on your profile. Nexaphysicians may investigate any patient complaint and may put a booking into disputed status pending review.
9. Suspension & termination
Nexaphysicians may suspend or terminate your account for breach of this Agreement, regulatory issues, fraud, repeated patient complaints, or violations of the anti-poaching clause. You may close your account at any time, provided you fulfil any confirmed consultations or arrange a refund.
10. Limitation of liability
Nexaphysicians provides the platform "as is" and is not liable for the clinical care you provide. Your liability to patients is governed by Nigerian medical law and your own professional indemnity cover.
11. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be notified by email. Continued use of the platform after changes take effect constitutes acceptance.
